1. DEFINITIONS
- "Company", "We", "Our", or "Us" refers to AishNar Groups, including its ventures, subsidiaries, and affiliated entities.
- "User", "Client", "Partner", "Employee", "Intern", or "You" refers to any person, entity, or organization engaging with AishNar Groups in any form.
2. ACCEPTANCE
By accessing or using our services, websites, or entering into any form of engagement, you agree to be bound by these Terms & Conditions (T&C).
If you do not agree, you must not use our services.
3. MODIFICATIONS
The Company reserves the right to amend or update these Terms at any time. Users are responsible for reviewing updates periodically.
Continued use constitutes acceptance of changes.

PART B: CLIENT TERMS

1. SCOPE OF SERVICES
- Services provided will be as per mutually agreed contracts, proposals, or work orders.
- Any service outside the agreed scope will require additional fees.
2. PAYMENTS
- Payments must be made in full and in advance unless otherwise agreed in writing.
- Late payments may attract a penalty of 2% per week of the due amount.
3. REFUNDS & CANCELLATION
- Refunds are not applicable once services are initiated unless explicitly agreed in writing.
- Cancellation by client must be communicated in writing.
4. CLIENT RESPONSIBILITIES
- Provide accurate information, approvals, and resources in a timely manner.
- Ensure compliance with applicable laws when using our services.
5. LIMITATION OF LIABILITY
- We are not liable for indirect, incidental, or consequential damages.
- Maximum liability shall not exceed the total fees paid by the client for the specific service.

PART C: EMPLOYEES & INTERNS

1. EMPLOYMENT / INTERNSHIP TERMS
- Employees and interns shall comply with company policies, codes of conduct, and confidentiality agreements.
- Internships are learning opportunities and may or may not include stipends depending on performance and agreements.
2. CONFIDENTIALITY
- All employees and interns must sign a Non-Disclosure Agreement (NDA).
- Disclosure of confidential company or client data is strictly prohibited and punishable by law.
3. INTELLECTUAL PROPERTY (IP)
- All work created during employment or internship is owned exclusively by AishNar Groups.
- Employees/interns may not claim ownership or reuse the work without written consent.
4. NON-COMPETE & NON-SOLICITATION
- Employees/interns may not directly compete, solicit clients, or use company knowledge to establish a rival entity for a minimum of 2 years post-engagement.

PART D: PARTNERSHIPS & VENDORS

1. Vendors and partners must comply with all applicable laws and ethical standards.
2. Any breach of agreement may lead to immediate termination and legal action.
3. Payments and deliverables shall be governed strictly as per contract terms.

PART E: CYBER & DATA SECURITY
--------------------------------------------
1. DATA HANDLING
- AishNar Groups follows cyber security principles in all engagements.
- Clients are responsible for providing lawful and secure data access.
2. DATA BREACH
- In case of breach due to client negligence, AishNar Groups shall not be liable.
- If breach occurs due to Company’s fault, liability is limited to corrective measures only.
3. COMPLIANCE
- Both parties must comply with Indian IT Act, 2000, GDPR (if applicable), and global cyber laws.

PART F: GOVERNING LAW & DISPUTES
--------------------------------------------
1. JURISDICTION
- All disputes shall be governed by the laws of India.
- Courts of Rajasthan shall have exclusive jurisdiction.
2. DISPUTE RESOLUTION
- Parties agree to resolve disputes through negotiation, failing which arbitration under the Arbitration and Conciliation Act, 1996 shall apply.

PART G: MISCELLANEOUS
--------------------------------------------
1. FORCE MAJEURE
- The Company shall not be liable for failure to deliver services due to events beyond its control (natural disasters, war, cyberattacks, strikes, etc.).
2. SEVERABILITY
- If any clause is found unenforceable, the remaining terms shall still apply.
3. ENTIRE AGREEMENT
- This document constitutes the entire agreement unless superseded by a written, signed contract.

Covers digital marketing, branding, social media, advertising, and online presence services.
ANNEXURE II: AISHNAR SECURE
Covers cybersecurity training, awareness programs, consultancy, and compliance services.

Covers all internship models, stipends, learning outcomes, and certification policies.

- Ensure compliance with applicable laws when using our services.
- Indemnify AishNar Groups against any misuse of services.
5. LIMITATION OF LIABILITY
- We are not liable for indirect, incidental, or consequential damages.
- Maximum liability shall not exceed the total fees paid by the client for the specific service.
